Robert F. Bruner is Dean and Distinguished Professor of Business Administration at the Darden Graduate School of Business Administration, University of Virginia. His areas of teaching, research, and writing are corporate finance, mergers and acquisitions, investing in emerging markets, innovation, and technology transfer. His latest book, Applied Mergers and Acquisitions, was published in 2004 by John Wiley and Sons. He teaches the course, “Mergers and Acquisitions” in Darden’s MBA program, and is the faculty director of Darden’s executive education program, “Mergers and Acquisitions.” He has been recognized in the United States and Europe for his teaching and casewriting. BusinessWeek magazine cited him as one of the “masters of the MBA classroom.” He is the author or co-author of over 400 case studies and notes, and of Case Studies in Finance: Managing for Corporate Value Creation now in its fourth edition. His research has been published in journals such as Financial Management, Journal of Accounting and Economics, Journal of Applied Corporate Finance, Journal of Financial Economics, Journal of Financial and Quantitative Analysis, and Journal of Money, Credit, and Banking. Industrial corporations, financial institutions, and government agencies have retained him for counsel and training. He has been on the faculty of the Darden School since 1982, and has been a visiting professor at various schools in Europe and Latin America, including INSEAD, and IESE. Formerly he was a loan officer and investment analyst for First Chicago Corporation. He holds the B.A. degree from Yale University and the M.B.A. and D.B.A. degrees from Harvard University. He has served The Darden School, professional groups, and community organizations in various positions of leadership.   • Mergers and Acquisitions (MBA). This MBA elective course was taught in January-March and aims to give an introduction to details of strategy, deal design, valuation, and integration.

  • Mergers and Acquisitions (Executive Education). This executive education seminar was offered in May and offers a condensed introduction to the drivers of success in M&A transactions.

  • Seminar on technology transfer. This special seminar initiated the Batten Seminar Series for MBA students. It offered a series of practitioner presentations and field visits to explore the difficulties with which innovations reach the marketplace.

 

Consulting: Examples of Engagements

1. Planning for post-merger integration. Assisted in the development of a manual to guide operating managers in planning the integration of operations following a merger. My written materials and participation in meetings provided key concepts and frameworks for organizing the integration effort. Client is a Fortune 100 competitor in the energy sector of the U.S.

2. Assessment of default risk under alternative capital structures. Employed Monte Carlo simulation and other measures of default risk to gauge the likelihood of financial default and bankruptcy by a major transportation equipment manufacturer. Client is an agency of the U.S. government.

3. Expert testimony on portfolio diversification. Prepared to testify on norms and best practices in asset management on the question of adequacy of diversification strategy. The case was settled out of court before depositions began. Client was a leading mid-Atlantic law firm.

4. Training in corporate finance and valuation. Retained by leading banks and professional services firms to give in-house seminars for audiences ranging from associates to senior partners. Teaching approaches range across lectures, leadership of case discussions, and management of “action-learning” simulations.

5. Keynote speaker. Retained to give major presentations at public conferences and private meetings.
